TERMS OF SERVICE Good Spread Inc. — goodspreadsuncare.com Revised: April 14, 2026

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. THIS AGREEMENT REQUIRES BINDING ARBITRATION AND CONTAINS A CLASS ACTION WAIVER. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICES.

LEGAL NOTICE: Good Spread Inc. sells sunscreen products classified as over-the-counter (OTC) drug products regulated by the U.S. Food and Drug Administration. Nothing in these Terms constitutes medical advice. Consult a qualified healthcare professional regarding any skin health concerns.

  1. ACCEPTANCE OF TERMS

Good Spread Inc. ("Goodspread," "we," "us," or "our") provides services, products, and features through its website at www.goodspreadsuncare.com, any mobile applications, and related software, content, and services (collectively, the "Services"). Your use of the Services is subject to these Terms of Service ("TOS").

Goodspread may update this TOS at any time. Material changes will be communicated via email or prominent notice at least fourteen (14) days before taking effect. Continued use after the effective date constitutes acceptance of the revised TOS. You can always review the current version at www.goodspreadsuncare.com/terms.

You represent and warrant that you: (a) are of legal age to form a binding contract; (b) have the right, authority, and capacity to abide by this TOS; and (c) are not prohibited from using the Services under any applicable law.

THE SERVICES ARE NOT INTENDED FOR USERS UNDER THE AGE OF 13. BY USING THE SERVICES, YOU REPRESENT THAT YOU ARE 13 YEARS OF AGE OR OLDER.

  1. RIGHTS AND PERMITTED USE

(a) Permitted Use. You may only use the Services for their intended purpose and in accordance with this TOS. You may not sell or resell any products purchased from Goodspread. Goodspread reserves the right to cancel or reduce the quantity of any order that may result in a violation of this TOS.

(b) Mobile Applications. Goodspread may make available mobile applications subject to this TOS. iOS Mobile Apps are also subject to Apple's Usage Rules. This TOS is between you and Goodspread only, not Apple Inc.

(c) Trademarks and Intellectual Property. You may not use Goodspread's names, brands, trademarks, service marks, slogans including "Sun's Out. Spread's On.™" and "Pass the Spread," logos, or trade dress without prior written authorization. All goodwill arising from use of the Marks inures solely to Goodspread's benefit.

(d) Creator and Affiliate Content. Creators, affiliates, and brand collaborators promoting Goodspread products agree to: (i) comply with all FTC disclosure guidelines and clearly disclose any material connection to Goodspread; (ii) not make any medical, health, or drug claims beyond what is stated on the product label; (iii) not disparage competitors by name; (iv) not use Goodspread's Marks in an unauthorized or misleading manner; and (v) comply with all platform-specific terms and advertising policies. Goodspread reserves the right to require removal of non-compliant content and terminate any creator relationship at its sole discretion.

  1. PRIVACY, DATA, AND CONSUMER RIGHTS

(a) Privacy Policy. Goodspread's Privacy Policy at www.goodspreadsuncare.com/privacy governs how we collect, use, and process your personal information and is incorporated herein by reference.

(b) Texas Data Privacy and Security Act (TDPSA). Goodspread complies with the Texas TDPSA, effective July 1, 2024. Texas residents have the right to access, correct, delete, and port their personal data, and to opt out of the sale of personal data and targeted advertising. To exercise these rights, contact privacy@goodspreadsuncare.com. We will respond within 45 days.

(c) California Residents — CCPA/CPRA. California residents have additional rights under the CCPA and CPRA, including the right to know, delete, correct, and opt out of the sale or sharing of personal information. Contact privacy@goodspreadsuncare.com or call 512.599.2446. We do not sell personal information for monetary consideration.

(d) Children's Privacy — COPPA. We do not knowingly collect personal information from children under 13. Parents who believe their child has submitted personal information may contact privacy@goodspreadsuncare.com to request deletion.

(e) AI and Automated Processing. Goodspread may use artificial intelligence and automated tools to improve the Services and personalize your experience. We do not use automated decision-making that produces legal effects without human review. You may opt out by contacting privacy@goodspreadsuncare.com.

(f) Biometric Data. Goodspread does not collect, store, or process biometric identifiers as defined under applicable state biometric privacy laws including the Texas CUBI Act and Illinois BIPA.

  1. PROPRIETARY RIGHTS AND LICENSES

(a) License to User Content. By submitting content to the Services — including reviews, photos, videos, or social media posts tagging Goodspread — you grant Goodspread a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable, transferable license to use, reproduce, modify, adapt, publicly perform, publicly display, and distribute such content in any form and medium for any business purpose including marketing, without credit or compensation to you.

(b) Goodspread's Ownership. Goodspread and its licensors own all rights, title, and interest in the Services and all Goodspread Content, including product formulations, packaging designs, slogans, trade dress, software, and trademarks. No rights are granted except as expressly stated in this TOS.

(c) Account Security. You may not share your account credentials. You are fully responsible for all activity under your account. Notify Goodspread immediately of any unauthorized use at hello@goodspreadsuncare.com. Goodspread reserves the right to suspend or terminate inactive accounts after three (3) months without liability.

  1. USER CONDUCT AND RESTRICTIONS

(a) Prohibited Activities. In your use of the Services, you will not:

(i) reproduce, sublicense, or distribute the Services except as expressly permitted herein; (ii) reverse engineer or attempt to derive source code or trade secrets from the Services; (iii) interfere with or disrupt the Services; (iv) access the Services to develop or distribute a competing product; (v) violate any applicable local, state, federal, or international law; (vi) remove or obscure any proprietary notice within the Services; (vii) impersonate any person or entity or misrepresent your affiliation with Goodspread; (viii) use bots, scrapers, or automated tools to access or harvest data from the Services; (ix) transmit malicious code or viruses; (x) make false or misleading claims about Goodspread products, including unauthorized health or drug claims; (xi) collect personal data of other users without consent; or (xii) use generative AI tools to create content that falsely attributes statements or endorsements to Goodspread or its personnel.

(b) Prohibited Content. You will not upload or transmit content that is illegal, harmful, threatening, defamatory, obscene, invasive of privacy, hateful, infringes any intellectual property right, constitutes spam, or is knowingly false or inaccurate.

  1. OTC DRUG PRODUCT DISCLAIMER AND PRODUCT TERMS

(a) FDA Regulated Products. Goodspread sunscreen products are OTC drug products regulated by the FDA under 21 CFR Parts 352 and 700. All products must be used as directed on the label. Nothing on the Services constitutes medical advice.

(b) No Off-Label Claims. Goodspread expressly disclaims any claims that its products diagnose, treat, cure, or prevent any disease beyond what is stated on FDA-approved product labeling. You agree not to use or promote Goodspread products for any off-label purpose.

(c) Risk of Loss. All purchases are made FOB Carrier. Risk of loss and title pass to you upon delivery to the carrier.

(d) Returns and Refunds. Goodspread does not take title to returned items until arrival at our fulfillment center. Refunds may be issued at our discretion without requiring a return. Please review our Return Policy at www.goodspreadsuncare.com/returns.

(e) Product Descriptions and Pricing. Goodspread attempts to provide accurate descriptions but does not warrant that content is complete or error-free. Goodspread reserves the right to correct errors and update pricing without notice. If a product is not as described, your sole remedy is to return it unused.

(f) Payment and Taxes. The price at checkout is the final price. You authorize Goodspread to charge your payment method for all fees due. Purchases may be subject to applicable state and local sales taxes.

  1. FEEDBACK AND USER SUBMISSIONS

If you provide Goodspread with suggestions, comments, ideas, or other feedback relating to the Services or products ("Feedback"), Goodspread shall own all rights in such Feedback and shall be free to use and commercialize it in any form without credit or compensation to you. You hereby assign all rights in Feedback to Goodspread.

  1. THIRD-PARTY SERVICES AND PLATFORMS

The Services may include access to third-party platforms including TikTok Shop, Amazon, social media platforms, payment processors, and advertising networks ("Third-Party Services"). Different terms and privacy policies apply to Third-Party Services. Goodspread is not responsible for Third-Party Services. When using Goodspread's TikTok Shop storefront or any third-party marketplace, that platform's terms also govern your purchase.

  1. INFLUENCER, CREATOR, AND AFFILIATE COMPLIANCE

Creators, influencers, and affiliates promoting Goodspread products must comply with:

(a) FTC Endorsement Guidelines: All material connections to Goodspread must be clearly and conspicuously disclosed in all content.

(b) FDA Advertising Regulations: Content must not make drug claims beyond what appears on the product label. Do not claim Goodspread products prevent, treat, or cure skin cancer or any other medical condition.

(c) Platform Rules: Comply with all applicable rules of TikTok, Instagram, YouTube, Amazon, and any other platform used to promote Goodspread.

(d) Content Accuracy: Do not misrepresent product ingredients, certifications, or efficacy. Content must be truthful and not misleading.

(e) Termination: Goodspread reserves the right to terminate any creator or affiliate relationship and demand removal of non-compliant content at any time without liability.

  1. INDEMNIFICATION

You shall indemnify, defend, and hold harmless Goodspread and its affiliates, officers, directors, employees, agents, and licensors from and against all claims, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) content you provide to or through the Services; (b) your violation of this TOS, any applicable law, or any rights of another party; (c) your use of the Services except as expressly permitted herein; (d) your creator or affiliate activities in connection with Goodspread; or (e) any false or misleading claims you make about Goodspread products.

  1. DISCLAIMER OF WARRANTIES

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOODSPREAD EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

GOODSPREAD DOES NOT WARRANT THAT ITS SUNSCREEN PRODUCTS WILL PREVENT SKIN CANCER, SUNBURN, OR ANY OTHER CONDITION IN ALL CIRCUMSTANCES. PRODUCT PERFORMANCE DEPENDS ON PROPER APPLICATION AS DIRECTED ON THE LABEL.

WHERE REQUIRED BY LAW, ANY IMPLIED WARRANTY IS LIMITED TO THIRTY (30) DAYS FROM PURCHASE.

  1. LIMITATION OF LIABILITY

GOODSPREAD PARTIES SHALL NOT BE LIABLE FOR ANY LOST PROFITS, LOSS OF DATA, PERSONAL INJURY, PROPERTY DAMAGE, OR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES OR GOODSPREAD PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GOODSPREAD PARTIES' TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO GOODSPREAD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND SHALL SURVIVE FAILURE OF ANY LIMITED REMEDY.

  1. SUSPENSION AND TERMINATION

(a) Either party may terminate this TOS at any time. You may terminate by discontinuing use and closing your account.

(b) Goodspread may immediately suspend or terminate your access if you violate this TOS, engage in fraudulent activity, or if required by law.

(c) Goodspread reserves the right to modify, suspend, or discontinue the Services at any time without notice and without liability.

(d) Upon termination: (i) Goodspread may remove your content and account data; (ii) you will immediately cease using the Services; and (iii) Sections 4, 7, 10, 11, 12, 15, and 16 shall survive termination.

  1. GOVERNING LAW

This TOS shall be governed by the laws of the State of Texas and applicable federal laws, without regard to conflict of laws principles. The UN Convention on Contracts for the International Sale of Goods and UCITA shall not apply.

  1. BINDING ARBITRATION AND CLASS ACTION WAIVER

THIS SECTION REQUIRES BINDING ARBITRATION TO RESOLVE DISPUTES AND WAIVES YOUR RIGHT TO A JURY TRIAL AND CLASS ACTION. PLEASE READ CAREFULLY.

(a) Binding Arbitration: ALL CLAIMS ARISING FROM OR RELATING TO THIS TOS OR THE SERVICES SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION, EXCEPT THAT EITHER PARTY MAY SEEK INJUNCTIVE RELIEF IN COURT TO PROTECT INTELLECTUAL PROPERTY RIGHTS, AND YOU MAY BRING CLAIMS IN SMALL CLAIMS COURT IF YOUR CLAIM DOES NOT EXCEED $10,000.

(b) Arbitration Rules: Arbitration shall be conducted by the American Arbitration Association (AAA) under its then-current Commercial or Consumer Arbitration Rules, as applicable. Rules are available at www.adr.org. Arbitration shall be conducted in English by a single neutral arbitrator in Austin, Texas, or remotely if mutually agreed. The arbitrator's decision shall be final and binding.

(c) Class Action Waiver: ALL CLAIMS SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS. NEITHER PARTY MAY BRING CLAIMS IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION. IF THIS WAIVER IS FOUND UNENFORCEABLE, THE ARBITRATION PROVISION SHALL BE NULL AND VOID.

(d) Opt-Out: You may opt out of this arbitration agreement by sending written notice to hello@goodspreadsuncare.com within thirty (30) days of first accepting this TOS.

(e) Future Changes: Material changes to this Section shall not apply to any claim for which you provided written notice before the change.

  1. LEGAL COMPLIANCE AND EXPORT CONTROLS

You represent and warrant compliance with all applicable laws including U.S. export laws. You represent that you are not located in a country subject to U.S. Government embargo and are not listed on any U.S. Government prohibited parties list.

  1. U.S. GOVERNMENT ENTITIES

The Services constitute "commercial computer software" as defined in 48 C.F.R. §12.212. Government entities acquire only those rights expressly granted in this TOS.

  1. COPYRIGHT INFRINGEMENT — DMCA NOTICE

If you believe content on the Services infringes your copyright, provide our designated agent with: (a) signature of the rights owner or authorized person; (b) identification of the copyrighted work; (c) identification and location of the infringing material; (d) your contact information; (e) a good-faith belief statement that the use is unauthorized; and (f) a statement under penalty of perjury that the information is accurate.

  1. CALIFORNIA USERS AND RESIDENTS

California residents may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

  1. GENERAL PROVISIONS

This TOS constitutes the entire agreement between you and Goodspread concerning your access to and use of the Services and supersedes all prior agreements. Goodspread's failure to enforce any provision shall not constitute a waiver. If any provision is held invalid, it shall be modified to the minimum extent necessary, and all other provisions remain in full force.

You may not assign your rights under this TOS without Goodspread's prior written consent. Goodspread may assign its rights freely.

Force majeure: Goodspread shall not be liable for delays or failures caused by events beyond its reasonable control, including acts of God, labor disputes, governmental restrictions, cyberattacks, pandemics, or Internet disruptions.
